Terms of Service

Welcome to Prosperi ("we," "us," "our," or "Prosperi"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Prosperi regarding your use of our personal finance management application and related services (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website, sending you an email, or through other reasonable means. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• You are not prohibited from using the Service under Canadian law or the laws of any other applicable jurisdiction
• All information you provide is accurate, current, and complete

If you are under 18 years of age, you may not use the Service. We do not knowingly collect or solicit personal information from anyone under the age of 18. If we learn that we have collected personal information from someone under 18, we will delete that information as quickly as possible.

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach

3.2 Account Responsibility

You are solely responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your password
• Any consequences resulting from unauthorized use of your account

You may not:

• Share your account credentials with any third party
• Allow any other person to access your account
• Create an account using false information or on behalf of someone else without authorization
• Create multiple accounts for the same individual

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies

Prosperi is a personal finance management application that helps you:

• Track income and expenses
• Create and manage budgets
• Categorize financial transactions
• Generate financial reports and insights
• Set and monitor financial goals
• Analyze spending patterns using artificial intelligence

4.1 Manual Data Entry

The Service operates on a manual data entry basis. You are responsible for:

• Manually entering all financial transactions
• Ensuring the accuracy of all data you input
• Updating information as needed

4.2 AI-Powered Features

Prosperi uses artificial intelligence to analyze transaction descriptions and financial summaries that you provide. When using AI features:

• Only transaction descriptions and calculated summaries are processed by AI
• AI-generated insights are based on the information you provide
• AI recommendations are for informational purposes only and should not be relied upon as professional advice

5.1 Not a Financial Institution

Prosperi is NOT:

• A financial institution as defined under Canadian banking laws or regulations
• A credit union, bank, or trust company
• Subject to oversight by the Office of the Superintendent of Financial Institutions (OSFI)
• Insured by the Canada Deposit Insurance Corporation (CDIC)

5.2 Not Financial Advice

The Service does NOT provide:

• Financial planning or investment advice
• Tax advice or tax preparation services
• Legal advice or legal services
• Credit counseling or debt management services
• Insurance advice or brokerage services
• Any form of professional advice requiring licensure or certification

5.3 Educational Purposes Only

All information, insights, reports, and recommendations provided through the Service are:

• For educational and informational purposes only
• Not a substitute for professional financial, tax, legal, or investment advice
• Not intended to be relied upon for making financial decisions
• Based solely on the data you manually input into the Service

5.4 Professional Consultation Required

You should consult with qualified professionals (financial advisors, accountants, tax professionals, lawyers) before making any financial, investment, tax, or legal decisions. We strongly recommend seeking professional advice before:

• Making investment decisions
• Implementing tax strategies
• Taking on debt or credit obligations
• Making major financial commitments
• Relying on any AI-generated insights or recommendations

5.5 No Fiduciary Duty

Prosperi does not owe you any fiduciary duty and is not acting as your agent, advisor, or in any similar capacity. We do not have access to your actual bank accounts or financial institutions.

6.1 Nature of AI Technology

The Service incorporates artificial intelligence and machine learning technologies to analyze your financial data. You acknowledge and agree that:

• AI technology is probabilistic and may produce errors or inaccuracies
• Machine learning is an evolving field and results may vary
• AI-generated content is created through automated processes and may not always be accurate, complete, or reliable

6.2 Data Processed by AI

When you use AI features, the following information may be processed:

• Raw transaction descriptions (e.g., "Coffee shop purchase," "Grocery store")
• Aggregated financial summaries and calculations
• Spending patterns and category totals
• No sensitive authentication credentials or bank account numbers are ever sent to AI systems

6.3 Verification Required

You must:

• Independently verify any AI-generated insights, recommendations, or categorizations
• Not rely solely on AI outputs for financial decisions
• Understand that AI cannot replace human judgment or professional advice
• Recognize that AI may misinterpret transaction descriptions or context

6.4 No Liability for AI Errors

You acknowledge that:

• AI-generated content may contain inaccuracies, errors, or misleading information
• Prosperi is not liable for decisions made based on AI-generated insights
• You assume all risks associated with relying on AI features
• Errors in AI categorization or analysis do not constitute breach of these Terms

6.5 Prohibited AI Use

You agree NOT to:

• Attempt to manipulate or deceive AI systems
• Input false or misleading data to generate inaccurate results
• Use AI features for any unlawful purpose
• Share, publish, or redistribute AI-generated content as professional advice

7.1 Your Obligations

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Provide accurate financial information
• Enter only your own financial data (not data belonging to others)
• Comply with all applicable Canadian federal and provincial laws
• Respect the intellectual property rights of Prosperi and third parties

7.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Enter financial information belonging to another person without authorization
• Attempt to gain unauthorized access to any portion of the Service
• Use any automated system (bots, scrapers, etc.) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Transmit any viruses, malware, or malicious code
• Use the Service to harass, abuse, or harm another person
• Impersonate any person or entity
• Collect or store personal information about other users
• Modify, adapt, translate, or create derivative works of the Service
• Remove any copyright, trademark, or proprietary notices
• Frame or mirror any part of the Service without our written permission
• Use the Service in any manner that could damage, disable, or impair the Service

7.3 Data Accuracy

You are solely responsible for:

• The accuracy and completeness of all data you enter
• Any financial decisions made based on data in your account
• Regularly reviewing and updating your financial information
• Backing up important financial records outside the Service

8.1 Subscription Plans

Prosperi offers the following subscription plans:

• Monthly Plan: $14.99 CAD per month
• Yearly Plan: $59.94 CAD per year

8.2 Billing and Payment

By subscribing to a paid plan, you agree that:

• You will be charged the subscription fee at the beginning of each billing cycle
• Subscription fees are billed in advance
• You authorize us to charge your payment method on file
• All fees are in Canadian dollars (CAD) and include applicable taxes
• Payment is due immediately upon subscription

8.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method for the renewal fee.

We will notify you before each automatic renewal. If you do not wish to continue your subscription, you must cancel before the renewal date.

8.4 Price Changes

We reserve the right to change our subscription fees at any time. We will provide you with at least 30 days' notice before any price increase takes effect. Price changes will apply to your next billing cycle after the notice period.

If you do not agree to a price increase, you may cancel your subscription before the new price takes effect.

8.5 Free Trials

We may offer free trial periods for new users. By starting a free trial:

• You must provide valid payment information
• You will be charged the subscription fee when the trial ends unless you cancel
• We may limit eligibility for free trials (e.g., one per user)
• We reserve the right to modify or discontinue free trials at any time

To avoid charges, you must cancel before the trial period ends.

8.6 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at support@prosperi-finance.com.

Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until that date.

Refunds:

• Subscription fees are generally non-refundable
• We do not provide refunds or credits for partial subscription periods
• If you cancel, you will not receive a refund for the current billing period
• Exceptions may be made at our sole discretion (e.g., billing errors, technical issues preventing use)

If you believe you were incorrectly charged, contact us at support@prosperi-finance.com within 30 days of the charge.

8.7 Taxes

You are responsible for any applicable federal, provincial, or local sales taxes, GST/HST, PST, or other taxes associated with your subscription. These may be added to your subscription fee.

8.8 Payment Method

You must provide a valid payment method (credit card, debit card, or other accepted method). You represent and warrant that:

• You are authorized to use the payment method provided
• You will maintain valid payment information in your account
• You authorize us to charge your payment method for all fees

If your payment method fails, we may suspend or terminate your access to paid features.

9.1 Prosperi's Intellectual Property

The Service, including all content, features, functionality, software, code, text, graphics, logos, and trademarks, is owned by Prosperi and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms.

9.2 Restrictions

You may NOT:

• Copy, modify, distribute, sell, or lease any part of the Service
• Create derivative works based on the Service
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices or labels
• Use the Service to develop a competing product
• Frame or mirror the Service on any other website

9.3 Your Data

You retain all ownership rights to the financial data you input into the Service ("User Data"). By using the Service, you grant Prosperi a limited license to:

• Store, process, and display your User Data to provide the Service
• Use aggregated, anonymized data for analytics and service improvement
• Process your transaction descriptions through AI systems as described in these Terms

This license terminates when you delete your User Data or account, except for:

• Anonymized data that cannot be linked back to you
• Data we are required to retain by law
• Backup copies that will be deleted in due course

9.4 Feedback

If you provide us with any suggestions, ideas, or feedback about the Service ("Feedback"), you grant us the right to use that Feedback without any obligation or compensation to you. We may use Feedback to improve the Service or develop new features.

10.1 Privacy Policy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

10.2 Canadian Privacy Law Compliance

We comply with:

• Personal Information Protection and Electronic Documents Act (PIPEDA)
• Applicable provincial privacy legislation
• Canadian Anti-Spam Legislation (CASL)

10.3 Data Security

While we implement reasonable security measures to protect your data, you acknowledge that:

• No method of transmission over the internet is 100% secure
• We cannot guarantee absolute security of your data
• You use the Service at your own risk
• You are responsible for maintaining the security of your account credentials

10.4 Data Retention

We will retain your User Data for as long as your account is active or as needed to provide the Service. After account deletion, we will delete or anonymize your data within a reasonable timeframe, except:

• Data required to be retained by law
• Data needed to resolve disputes or enforce these Terms
• Anonymized data used for analytics

10.5 Your Rights

Under Canadian privacy law, you have the right to:

• Access your personal information
• Correct inaccurate information
• Request deletion of your information (subject to legal requirements)
• Withdraw consent for certain uses of your information
• Lodge a complaint with the Privacy Commissioner of Canada

11.1 No Third-Party Integrations

Prosperi does not integrate with any third-party financial services, bank account aggregators, or similar services. All financial data must be manually entered by you.

11.2 Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by Prosperi. We have no control over, and assume no responsibility for:

• The content, privacy policies, or practices of third-party websites
• Any damage or loss caused by your use of third-party services
• The accuracy or reliability of information on third-party websites

Your interactions with third-party websites are solely between you and that third party. We encourage you to review the terms and privacy policies of any third-party websites you visit.

11.3 AI Service Providers

Prosperi uses third-party AI service providers to power certain features. These providers process transaction descriptions and summaries in accordance with their own terms and privacy policies. We select providers that maintain high security and privacy standards, but we cannot guarantee their practices.

12.1 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or freedom from viruses or malicious code

12.2 No Warranty for AI Features

WE MAKE NO WARRANTIES REGARDING:

• The accuracy of AI-generated insights or recommendations
• The reliability of automated categorization or analysis
• The completeness of AI outputs
• The suitability of AI recommendations for your specific situation

12.3 Service Availability

We do not warrant that:

• The Service will be available at all times or without interruption
• Defects will be corrected
• The Service will meet your requirements
• Results obtained from the Service will be accurate or reliable

12.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROSPERI, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY:

A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Loss of goodwill
• Financial losses resulting from reliance on the Service
• Investment losses or poor financial decisions
• Costs of obtaining substitute services

B) DIRECT DAMAGES EXCEEDING THE GREATER OF:

• $100 CAD, or
• The total amount you paid to Prosperi in the 12 months preceding the claim

C) ANY DAMAGES RESULTING FROM:

• Errors, inaccuracies, or omissions in the Service or data
• Unauthorized access to your account or data
• AI-generated errors or inaccuracies
• Interruption or cessation of the Service
• Transmission or reception of data
• Bugs, viruses, or malicious code
• Third-party content or services
• Any financial decisions made based on information from the Service

12.5 Basis of the Bargain

You acknowledge that these limitations of liability are a fundamental basis of the agreement between you and Prosperi, and that we would not provide the Service without these limitations.

12.6 Provincial Limitations

Some provinces do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12.7 Your Sole Remedy

Your sole and exclusive remedy for dissatisfaction with the Service is to stop using the Service and cancel your account.

You agree to indemnify, defend, and hold harmless Prosperi, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any rights of a third party
• Any User Data you provide or financial decisions you make
• Any false, inaccurate, or misleading information you provide
• Unauthorized use of your account by any person
• Any disputes between you and a third party
• Your reliance on AI-generated insights or recommendations

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service at any time
• Change features, functionality, or availability of the Service
• Impose limits on certain features or restrict access to parts of the Service
• Update, upgrade, or enhance the Service

We will make reasonable efforts to notify you of material changes that negatively impact your use of the Service. However, we are not liable for any modification, suspension, or discontinuance of the Service.

15.1 Term

These Terms remain in effect while you use the Service or maintain an account, whichever is longer.

15.2 Termination by You

You may terminate these Terms and close your account at any time by:

• Using the account deletion feature in your account settings, or
• Contacting us at support@prosperi-finance.com

Upon termination, your subscription will not renew and you will lose access to the Service at the end of your current billing period.

15.3 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of applicable laws
• Fraudulent, abusive, or harmful conduct
• Non-payment of subscription fees
• Extended inactivity
• At our sole discretion for any reason or no reason

15.4 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Data after a reasonable period
• No refunds will be provided for unused subscription time
• Sections of these Terms that by their nature should survive will survive termination

15.5 Survival

The following sections survive termination: Intellectual Property Rights, Disclaimers and Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and General Provisions.

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

16.2 Jurisdiction

You agree that any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

16.3 Dispute Resolution Process

Before initiating any legal proceeding, you agree to:

1. Contact us at support@prosperi-finance.com describing the dispute
2. Allow 30 days for us to attempt to resolve the dispute informally
3. Participate in good faith negotiations to resolve the issue

16.4 No Class Actions

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16.5 Limitation Period

You agree that any claim or cause of action arising out of these Terms or your use of the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred, regardless of any statute or law to the contrary.

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prosperi regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Prosperi.

17.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations without our prior written consent. We may assign these Terms or any rights hereunder without your consent. Any attempted assignment in violation of this section is void.

17.5 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Relationship

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Prosperi. You have no authority to bind Prosperi in any way.

17.7 Notices

We may provide notices to you via email to the address associated with your account, by posting on the Service, or by other reasonable means. You are responsible for keeping your contact information current.

17.8 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency or dispute.

17.9 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

17.10 Electronic Communications

By using the Service, you consent to receive electronic communications from us, including emails, notices posted on the Service, and messages to your account. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

17.11 Export Control

You agree to comply with all applicable export and import laws and regulations. You may not use or export or re-export the Service except as authorized by Canadian law and the laws of the jurisdiction in which the Service was obtained.
